Terms of Service

These Terms of Service (the “Terms”) form a legally binding agreement between you (“you,” “your,” or the “User”) and AIKYEM, Inc. (“AIKYEM,” “we,” “us,” or “our”), governing your access to and use of the AIKYEM websites, applications, and related services (collectively, the “Platform”). Please read them carefully. By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must not access or use the Platform.

These Terms contain provisions that limit our liability, require you to assume certain risks, and, in Section 19, require the resolution of most disputes through binding individual arbitration and a waiver of class actions. Please review those sections carefully.

1. Agreement to These Terms

By registering for, accessing, or using the Platform, you enter into a binding contract with AIKYEM. These Terms apply to every User. If you use the Platform on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to both you and that organization.

2. Eligibility

• You must be at least eighteen (18) years old and of legal age to form a binding contract.
• You must not be barred from using the Platform under the laws of any applicable jurisdiction, and you must not have been previously suspended or removed by AIKYEM.
• You agree to provide accurate, current, and complete information and to keep it up to date.
• The Platform is not directed to and may not be used by anyone under 18. If we learn that a minor has created an account, we will terminate it.

3. Definitions

• “Intent” — a post created by a User expressing a desire to purchase a good or service as part of a group.
• “Alpha” — the User who creates an Intent and coordinates the group that forms around it.
• “Participant” — a User who joins an Intent.
• “Group Buy” — the coordination among Users of an Intent toward a potential purchase.
• “Vendor” — any third-party seller, supplier, contractor, or provider of goods or services.
• “Content” — any text, images, messages, or other material submitted to the Platform.

4. Account Registration and Security

You must register an account to use most features. You agree to maintain one account per person, to keep your credentials confidential, and to notify us immediately of any unauthorized use. You are solely responsible for all activity that occurs under your account, whether or not authorized by you. We are not liable for any loss arising from your failure to safeguard your credentials.

5. The Nature of AIKYEM’s Service

AIKYEM provides a neutral technology platform that helps Users discover one another, express purchasing intent, and coordinate. AIKYEM is a venue only. To the maximum extent permitted by law, you acknowledge and agree that:

• AIKYEM is not a party to any agreement, arrangement, or transaction between Users, or between any User and any Vendor.
• AIKYEM does not buy, sell, supply, ship, or deliver any goods or services and does not guarantee that any Group Buy will result in a purchase, a discount, or any particular price.
• AIKYEM does not process, hold, escrow, transmit, or refund payments, and is not a bank, money-services business, escrow agent, payment processor, broker, agent, or fiduciary of any User.
• AIKYEM does not verify, endorse, or guarantee the identity, reputation, statements, conduct, or reliability of any User or Vendor, or the existence, quality, safety, legality, or value of any good or service.

Any transaction, payment, meeting, or other dealing you enter into with another User or a Vendor is solely between you and that other person or entity, is conducted entirely outside the Platform, and is undertaken at your own risk.

6. No Screening or Endorsement

We do not conduct background checks or identity verification on Users and do not routinely screen Intents, messages, or Vendors. We may, but are under no obligation to, monitor, review, or remove Content or accounts. The inclusion of any Intent, User, or Vendor on the Platform is not an endorsement or recommendation by AIKYEM.

7. Member Safety and Financial Caution

Group buying involves interacting with other people and, sometimes, meeting them or transacting offline. Your safety and your money are your responsibility. Please read this section carefully.

To protect yourself, you agree to follow these practices:

• Pay only legitimate Vendors, only when a deal is final. When a Group Buy leads to an actual purchase, pay the named, verifiable business directly through a traceable and reversible method (such as a credit card). Do not pool money through, or hand cash to, another member.
• Be alert to red flags, including pressure to pay quickly, requests for upfront deposits or fees, requests to move the conversation off-Platform, prices that seem too good to be true, refusal to identify the Vendor, or requests for gift cards, wire transfers, or cryptocurrency.
• Verify independently. Confirm that any Vendor is a real, licensed, and reputable business before committing, and independently confirm pricing and terms.
• Meet safely. If you meet another User in person, meet in a public place, tell someone where you are going, and consider bringing a companion. Never share financial account details, government identifiers, or one-time passcodes.
• Protect your information. AIKYEM will never ask you for your password or a verification code. Do not share them with anyone.
• Report concerns. Report suspicious accounts, messages, or requests through our Contact Us page.

You acknowledge that AIKYEM does not mediate disputes between Users, does not investigate every report, and has no obligation to and will not reimburse, refund, insure, or otherwise make you whole for any money you send to, or any loss you suffer in dealings with, another User or Vendor.

8. Group Buys, the Alpha Role, and Dealings Between Members

The Alpha of an Intent sets the item, target group size, indicative price, and timing, and coordinates the group. The Alpha acts on their own behalf and not as an agent, employee, or representative of AIKYEM. Prices, targets, availability, discounts, and other terms surfaced on the Platform are informational, may be provided by Users, and are not warranted by AIKYEM. Whether a Group Buy succeeds, what a Vendor ultimately charges, and the quality, timing, and delivery of any good or service are entirely outside AIKYEM’s control and responsibility. Any dispute between Users or between a User and a Vendor must be resolved between those parties.

9. Acceptable Use and Prohibited Conduct

You agree not to, and not to attempt to, do any of the following:

• Engage in fraud, deception, phishing, or any scheme to solicit money or information under false pretenses.
• Solicit deposits, advance payments, or fees from other Users, or ask Users to pay you or any third party through untraceable or irreversible methods.
• Post Intents for, or facilitate, any illegal, counterfeit, stolen, recalled, hazardous, or regulated goods or services, or any transaction prohibited by law.
• Harass, threaten, defame, stalk, discriminate against, or impersonate any person, or infringe anyone’s privacy or intellectual-property rights.
• Post false, misleading, spam, or unsolicited commercial content, or misrepresent a Vendor, price, or affiliation.
• Collect, scrape, harvest, or store other Users’ information, or use the Platform to build a competing or derivative service.
• Interfere with, disrupt, overload, probe, or circumvent the security or integrity of the Platform, or reverse-engineer, decompile, or attempt to access non-public areas or source code.
• Use bots, automated means, or multiple or fake accounts, or evade a suspension or ban.
• Violate any applicable law, regulation, or third-party right.

We may investigate and take any action we deem appropriate for a suspected violation, including removing Content, suspending or terminating accounts, and cooperating with law enforcement.

10. User Content and License

You retain ownership of the Content you submit. You are solely responsible for your Content and represent that you have all rights necessary to submit it and that it does not violate these Terms or any law or third-party right. You grant AIKYEM a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, adapt, and distribute your Content for the purpose of operating, providing, and improving the Platform. We may remove or restrict any Content at our discretion.

11. AIKYEM Intellectual Property

The Platform, including its software, design, text, graphics, logos, and the “AIKYEM” name and marks, is owned by or licensed to AIKYEM and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Platform for its intended personal, non-commercial purpose. All rights not expressly granted are reserved.

12. Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Platform, you consent to those practices and to receiving electronic communications from us, including account, security, and verification messages.

13. Assumption of Risk

You knowingly and voluntarily assume all risks arising from your use of the Platform and your interactions with other Users and Vendors, whether online or in person, including the risk of fraud, misrepresentation, theft, financial loss, personal injury, property damage, or death. You are solely responsible for evaluating, and bear all risk associated with, any User, Vendor, Intent, price, product, meeting, or transaction.

14. Disclaimers of Warranties

The Platform is provided “as is” and “as available,” with all faults and without warranty of any kind. To the fullest extent permitted by law, AIKYEM disclaims all warranties, express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Platform will be uninterrupted, secure, error-free, or that any User, Vendor, Intent, or transaction is genuine, safe, lawful, or will meet your expectations. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

15. Limitation of Liability

To the fullest extent permitted by law, in no event will AIKYEM or its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or funds sent to any User or Vendor, arising out of or relating to the Platform or these Terms, whether based in contract, tort, or otherwise, and even if advised of the possibility of such damages. AIKYEM’s total aggregate liability for all claims arising out of or relating to the Platform or these Terms will not exceed the greater of (a) the total amounts you paid to AIKYEM in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16. Release

Because AIKYEM is only a venue, you release AIKYEM and its officers, directors, employees, and agents from any and all claims, demands, damages, and liabilities of every kind, known or unknown, arising out of or in any way connected with any dispute or dealing between you and another User or a Vendor, including any money you send to or receive from them. If you are a resident of a jurisdiction that limits such releases (for example, California Civil Code Section 1542), you expressly waive the protections of that law to the fullest extent permitted.

17. Indemnification

You agree to defend, indemnify, and hold harmless AIKYEM and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Platform, your Content, your dealings with any User or Vendor, or your violation of these Terms or any law or third-party right.

18. Suspension and Termination

You may stop using the Platform and delete your account at any time. We may suspend, restrict, or terminate your access at any time, with or without notice, including for any suspected violation of these Terms or any conduct we consider harmful to the Platform or other Users. Upon termination, the licenses you granted survive as necessary, and Sections 5 through 21 survive termination.

19. Dispute Resolution; Arbitration; Class-Action Waiver; Governing Law

Please read this section carefully — it affects your legal rights. Except where prohibited by law, you and AIKYEM agree to first attempt to resolve any dispute informally by contacting us. If a dispute is not resolved within sixty (60) days, you and AIKYEM agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved by final and binding individual arbitration, rather than in court, except that either party may bring an individual claim in small-claims court and either party may seek injunctive relief for infringement or misuse of intellectual property.

Class-action waiver. You and AIKYEM agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. You may opt out of this arbitration and class-waiver agreement by sending written notice through our Contact Us page within thirty (30) days of first accepting these Terms.

These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws rules. To the extent any dispute proceeds in court rather than arbitration, it will be brought exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction, except where applicable law grants you the right to proceed in your home jurisdiction.

20. Changes to These Terms

We may update these Terms as the Platform evolves. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Changes are effective when posted. Your continued use of the Platform after an update constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Platform.

21. General Provisions

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and AIKYEM regarding the Platform and supersede any prior agreements.
• Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will stay in effect.
• No waiver. Our failure to enforce any provision is not a waiver of it.
• Assignment. You may not assign these Terms without our consent; we may assign them freely.
• Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
• Headings. Section headings are for convenience only and do not affect interpretation.
